    PART A — GENERAL TERMS

    1. General

    1.1 Who we are. https://cargoai.co/ ("this Site") is the official website of CARGOAI Pte. Ltd., a company incorporated in the Republic of Singapore with its registered office at 160 Robinson Road #14-04, Singapore 068914 ("CargoAi", "we", "us" or "our").

    1.2 Scope. These terms and conditions of use ("Terms and Conditions") govern your access to and use of this Site and of all platforms, products and services CargoAi makes available from time to time, whether free or paid and whether accessed through the web, a mobile or desktop application, an application programming interface (API) or otherwise, as described on this Site (collectively, the "CargoAi Platforms"), expressly including the cargo-wallet.com website and its application and each other website or application CargoAi operates for a Service, such as quality.cargoai.co, airagent.cargoai.co and connect.cargoai.co (including, as at the date of these Terms and Conditions, CargoMART, CargoMART Strategic Hub, CargoCONNECT, CargoGATE, CargoINTEL, Cargo2ZERO, CargoWALLET, CargoQUALITY, CargoCoPilot and AirAgent, and such other products and services as CargoAi may make available). Each product or service on the CargoAi Platforms is a "Service".

    1.3 Users. These Terms and Conditions apply to all persons and entities accessing or using this Site or any CargoAi Platform, including freight forwarders ("Freight Forwarders"); carriers, airlines and their general sales and service agents (GSAs) and other capacity providers ("Carriers"); ground handling and other partner agents ("Partner Agents"); software providers and other partners accessing the CargoAi Platforms by API ("API Partners"); and affiliate and distribution partners ("Affiliates"), each including its officers, employees, agents and representatives. All of the foregoing, and all other persons and entities accessing or using this Site or any CargoAi Platform, are the "Users" ("you", "your").

    1.4 Acceptance. Your access to and use of this Site or any CargoAi Platform constitute your acceptance of and agreement to be bound by these Terms and Conditions (both PART A — GENERAL TERMS ("Part A") and, if you register for or use any payment service, PART B — PAYMENT SERVICES TERMS ("Part B")), for every visit and all access and use, now and in the future. You represent and warrant that you have the legal right and ability to enter into these Terms and Conditions. If you do not agree, discontinue your access and do not use this Site or the CargoAi Platforms.

    2. Modification of Terms

    CargoAi may update these Terms and Conditions at any time. Updates take effect once posted on this Site, apply to all subsequent access and use (continued use constituting acceptance) and have no retrospective effect on contracts already made through this Site. You should review these Terms and Conditions each time you visit. References to these Terms and Conditions mean them as amended from time to time. Material changes to Part B (Payment Services Terms) take effect for registered Payment Services users only in accordance with Section B1.3.

    3. Enterprise Agreements

    If you, or the organisation on whose behalf you access or use the CargoAi Platforms, has entered into a separate written agreement signed with CargoAi (including the CargoAi Master Services Agreement) (an "Enterprise Agreement"), the Enterprise Agreement prevails over these Terms and Conditions, for the Services it covers, to the extent of any conflict. These Terms and Conditions continue to apply to this Site and to any CargoAi Platforms or Services it does not cover.

    4. Supplemental Product Terms

    4.1 Supplemental terms. Certain Services carry supplemental terms presented at registration or ordering, within the Service or on this Site (for example, terms for a particular API plan) ("Supplemental Product Terms"). By registering for, ordering or using such a Service, you agree to the applicable Supplemental Product Terms, which are incorporated into these Terms and Conditions and prevail over them for that Service to the extent of any conflict.

    4.2 Payment services. Where CargoAi makes payment services available, they are provided together with regulated financial partners and are governed by Part B, which binds every User who registers for or uses any payment service and prevails over this Part A for payment operations to the extent of any conflict. All money and monetary value processed through them is received, stored and transmitted by regulated third-party financial institutions; CargoAi is not a bank, deposit-taking institution, money transmitter or licensed payment institution and does not receive or store money for transmission.

    5. Conditions of Carriage and Final Carrier Agreements

    5.1 Estimates only. The data displayed on this Site and the CargoAi Platforms (including rates, transit times and types of service) are estimates and for information only.

    5.2 Final Carrier Agreements. All services provided by a Carrier and engaged by a Freight Forwarder through this Site or the CargoAi Platforms are subject to the Carrier's rates, standard published terms, conditions of carriage, conditions of contract, bill of lading, general rules tariff and any other conditions (collectively, the "Final Carrier Agreements"), and to the ground charges and associated conditions of the Partner Agent concerned, in each case agreed privately between the parties concerned and possibly differing from what is displayed on this Site or the CargoAi Platforms.

    5.3 CargoAi is not a carrier. Bookings made through the CargoAi Platforms give rise to contracts of carriage directly between the Carrier and the Freight Forwarder concerned, subject to the applicable Final Carrier Agreements. CargoAi is not a party to any contract of carriage or Final Carrier Agreement and does not itself provide air carriage or freight forwarding services.

    6. Paid Services

    6.1 Orders. You may subscribe to paid plans and other paid Services ordered online or under a quote or order agreed with or accepted by CargoAi (each an "Order"; such Services, the "Paid Services"). During the subscription term specified in your Order (the "Subscription Term"), we will provide access to the subscribed Paid Services as described in these Terms and Conditions, any Supplemental Product Terms and the Order. You may add features by placing an additional Order or activating them within your account where available; these Terms and Conditions apply to those additions. Fees may be subscription-based, usage-based (including per booking or AWB, per API call or credit, per station, per office or per user) or one-off, as stated in your Order or in the pricing published on this Site; unless your Order states otherwise, subscription plans are billed annually.

    6.2 Subscription Fees. The fees for the Paid Services (the "Subscription Fees") remain fixed during the initial term of your subscription unless you exceed applicable limits, expand your base subscription or subscribe to add-ons. Upon renewal, the Subscription Fees may automatically increase by up to 5% per renewal term (each a "Renewal Term") without prior notice or approval. For any increase above 5%, we will notify you at least 60 days before your renewal and the increase will apply from the start of that Renewal Term; if you do not agree, either party may elect, before that Renewal Term starts, not to renew, ending the subscription at the end of the then-current term.

    6.3 Payment and taxes. If you pay by credit card, you authorise us to charge your authorised payment method (your "Authorized Payment Method") for all fees payable during the Subscription Term, to use a third-party payment processor and to disclose your payment information to it. All fees are exclusive of taxes, which we will charge as applicable.

    6.4 Money-back guarantee. Where a money-back guarantee is expressly offered for a Paid Service on this Site or in your Order, you may, if dissatisfied, request a full refund within 14 days of purchase (or the period the offer states) by contacting customer support; CargoAi may refuse a refund where it determines, in its sole discretion, that the guarantee has been abused or not invoked in good faith.

    6.5 Term, renewal and cancellation. Your initial Subscription Term is specified in your Order and, unless the Order states otherwise, your subscription automatically renews for successive 12-month Renewal Terms unless either party gives written notice of non-renewal (in your case via your account manager or our support email) at least two (2) months before the end of the then-current term. You may cancel early at your convenience, provided that we will not refund prepaid or unused Subscription Fees and you will promptly pay all unpaid fees due through the end of the Subscription Term.

    7. API Services

    7.1 Scope. CargoAi makes certain Services available programmatically through application programming interfaces (the "APIs"), giving access to air cargo capacity, rates, schedules, eBooking, tracking, CO2 and other data and content made available by or for CargoAi ("CargoAi Data"), directly or through an API marketplace. "Documentation" means the technical documentation, integration guides, product and plan descriptions, fair-use policies and rate limits CargoAi publishes from time to time.

    7.2 Licence and fair use. Subject to your compliance with these Terms and Conditions and payment of all applicable fees, CargoAi grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to use the APIs and CargoAi Data solely for your subscribed plan and per the Documentation, including its fair-use and rate limits and other technical restrictions. CargoAi may modify such limits and may throttle or suspend access or require an upgrade if you exceed them. Where your plan includes a monthly credit or usage allowance, credits are consumed per API call at the rates published on this Site or in the Documentation, the allowance resets at the beginning of each calendar month and unused credits do not roll over; usage beyond the allowance is charged at your plan's top-up rates. Responses that fail due to client error may be charged at the reduced rate stated in the published pricing; responses that fail due to server error are not charged.

    7.3 API Credentials. API keys, tokens and other credentials issued to you ("API Credentials") are CargoAi's confidential information; unless otherwise agreed, one set is issued per organisation. You shall not share or transfer them, shall ensure only your personnel and systems use them, are responsible for all activity under them, and shall promptly notify support@cargoai.co of any unauthorised use.

    7.4 Restrictions. You shall not, and shall not permit or assist any third party to: (a) scrape, crawl or otherwise harvest data from this Site or the CargoAi Platforms other than through the APIs; (b) bulk-extract or systematically store CargoAi Data beyond what your plan reasonably requires; (c) resell, redistribute, sublicense, publish or otherwise make raw CargoAi Data available to any third party; (d) use the APIs or CargoAi Data unlawfully, or use CargoAi Data to build, train or operate any product or service competing with CargoAi's rate- or capacity-distribution services; (e) circumvent any rate limits, authentication or security measures; or (f) misrepresent the origin of CargoAi Data or remove attribution required by the Documentation.

    7.5 Permitted use. Subject to Section 7.4 and your plan's scope, you may display and use CargoAi Data in your own products and services for making and servicing bookings and for analytics, and may incorporate it on an anonymised, aggregated basis only where your plan expressly allows.

    7.6 Availability. The APIs and CargoAi Data are provided on a reasonable-efforts basis; CargoAi does not warrant continuous availability (see Section 16).

    7.7 Effect of termination. When your plan or API access ends, all licences under this Section 7 end, your API Credentials will be revoked, and you shall cease all use of the APIs and, except as your plan permits or law requires for records of bookings already made, of the CargoAi Data.

    8. Carrier Content, Analytics and Sustainability Data

    8.1 Carrier content licence. Carriers may publish and distribute inventory, rates, schedules, capacity and related content through the CargoAi Platforms and receive and manage eBookings from CargoAi channels. Each Carrier grants CargoAi a worldwide, royalty-free, non-exclusive licence to use, copy, distribute, display and make available such content ("Carrier Content") through the CargoAi Platforms and its distribution channels, including the right to sublicense it to Users and API Partners for display and use in their products and services for making and servicing bookings and for analytics. This licence survives, for bookings already made, any cessation of the Carrier's use of the CargoAi Platforms. Each Carrier is responsible for the accuracy, completeness and lawfulness of its Carrier Content and for honouring confirmed bookings, subject to the applicable Final Carrier Agreements. CargoAi operates the CargoAi Platforms subject to Sections 15 and 16.

    8.2 Analytics and market intelligence. Reports, dashboards, analytics and market intelligence made available through the CargoAi Platforms are licensed for your internal business use only and shall not be redistributed, resold, published or made available to any third party without CargoAi's prior written consent. They are for information only and are not advice; CargoAi makes no warranty as to their accuracy or completeness.

    8.3 Emissions and sustainability data. CO2 emissions figures displayed or reported through the CargoAi Platforms are estimates calculated per the methodology stated in the Documentation (such as IATA RP 1678 where stated), are for information only and, unless CargoAi states otherwise in writing, are not warranted to satisfy any regulatory or contractual emissions-reporting obligation. Sustainable aviation fuel (SAF) contributions are fulfilled through third-party partners; related certificates or attestations are issued subject to the applicable partner's terms.

    9. Access, Accounts and Acceptable Use

    9.1 Right of access. CargoAi may, at its sole discretion, grant or refuse permission to use this Site or any CargoAi Platform and impose conditions on such use as it deems fit. You are responsible for the confidentiality of your account credentials and all activity under your account. You shall notify support@cargoai.co immediately of any unauthorised access to or use of your account or credentials; CargoAi may require a change to, or reclaim, any credential at any time.

    9.2 Acceptable use. When using this Site or any CargoAi Platform you agree:

    (a) to use them only in connection with CargoAi's products and services and to pay all amounts due (including fees, charges, taxes and duties) in full and on time;

    (b) not to deface, alter, damage, disrupt or impair this Site or the CargoAi Platforms or their underlying code, reverse engineer, decompile or disassemble them or any software comprising them, impose an unreasonable or disproportionately large load on them or related infrastructure, substantially exceed typical use projections (including storage and bandwidth; we may change use limits at any time without notice), or upload material containing viruses or other code designed to interrupt, destroy or limit the functionality of any software or equipment;

    (c) not to make unlawful bookings or use inaccurate location, identity or point-of-sale information, not to make any other unlawful, fraudulent, abusive or improper use of our software, the CargoAi Data or Carrier Content (including anything posing a security risk to CargoAi or the Carriers), and not to change, forward, modify, adapt, copy or otherwise exploit Carrier Content other than for making and servicing bookings and other uses these Terms and Conditions expressly permit (including Sections 7 and 8);

    (d) not to post, distribute or upload any defamatory, offensive, infringing, obscene, harmful, threatening, abusive or otherwise unlawful material, send spam or other bulk communications, or threaten, harass, stalk, abuse or otherwise violate others' rights, including privacy rights;

    (e) not to obtain or attempt unauthorised access to this Site, the CargoAi Platforms or any private or member account areas, impersonate any person or misrepresent your affiliation with another, or infringe or interfere with any intellectual property rights of CargoAi, its associated companies or third parties; and

    (f) not to do anything otherwise unlawful, liable to create liability for CargoAi, or in violation of these Terms and Conditions or applicable legislation.

    9.3 Enforcement and suspension. If CargoAi considers that you have breached these Terms and Conditions or otherwise behaved inappropriately, it may warn you and demand the conduct stop, delete material you posted without notice, terminate, suspend or restrict your access (immediately where it reasonably believes your use is fraudulent, unlawful or abusive or poses a security risk to, or may adversely affect, this Site, the CargoAi Platforms, the Carriers or any other User), report your activities to your internet service provider or the relevant authorities, take legal action and pursue any other remedies at law or in equity.

    10. Waiver of Penalties

    Where a finalised transaction or service to be performed by a Carrier is cancelled by either the Carrier or the Freight Forwarder for any reason, the cancelling party may apply for a waiver of penalty charges by written document to CargoAi stating the reasons. CargoAi has sole discretion whether the reasons are acceptable and whether to waive the penalty charges.

    11. Affiliates of CargoAi

    In this Section 11, "CargoAi Materials" means the branding, marketing materials, documentation, software, interfaces and other materials CargoAi makes available to an Affiliate for distribution of the CargoAi Platforms, and "Affiliate Platforms" means the websites, applications and other channels owned or operated by or for an Affiliate. CargoAi retains ownership of all intellectual property in the CargoAi Platforms, the CargoAi Materials, the services and technical, integration and service information it provides, and any parts of the Affiliate Platforms it develops (together, "CargoAi IP"), and grants each Affiliate a worldwide, revocable, royalty-free, non-exclusive, non-assignable licence to use the CargoAi IP solely to distribute the CargoAi Platforms via the Affiliate Platforms and exercise its rights and obligations under these Terms and Conditions. Affiliates may use the CargoAi Materials only to make the CargoAi Platforms available on the Affiliate Platforms, shall not combine them with their own content or a CargoAi competitor's, shall not create derivative works from them except as strictly necessary to operate the Affiliate Platforms, shall not act in any manner that adversely affects CargoAi's market position or supplier relationships, and shall comply with the CargoAi security, privacy and processing requirements published on this Site.

    12. Data Usage and Privacy

    You agree that CargoAi may collect, process, use and share information about you, your devices and your use of this Site and the CargoAi Platforms (including company name, profile details and usage behaviour), and business data you provide, with its suppliers, partners (such as airlines) and Users under written agreements containing confidentiality, privacy and security obligations, to provide and improve the Services, facilitate services to you, conduct market research, meet regulatory, tax and audit requirements and for marketing and communications, as described in CargoAi's privacy policy on this Site. CargoAi's partners may likewise share business data with CargoAi to facilitate services to you, per their own privacy policies and terms.

    13. Copyright and Trademarks

    All content of this Site and the CargoAi Platforms is subject to copyright. You may not copy, modify, distribute, transmit, display, publish, license, transfer, sell or create derivative works from any information, software, products or services obtained from them, except as these Terms and Conditions expressly permit. The CargoAi names and marks are our trademarks; other product and company names may be trademarks of their respective owners.

    14. Links to Third-Party Websites

    This Site and the CargoAi Platforms may contain links to third-party internet sites. CargoAi does not operate or control any information, products or services on such sites; links are for convenience only and are not an endorsement. You assume sole responsibility for your use of third-party links.

    15. Disclaimers, Limitation of Liability and Indemnity

    15.1 Shipments and compliance. Users are responsible for, and warrant, compliance with all laws applicable to their shipments, including customs, import and export laws of any country to, from, through or over which a shipment may be carried, and shall furnish the information required to comply. CargoAi has no liability for any loss, damage, delay, mis-delivery or non-delivery arising from a shipment, including any arising from any party's failure to comply with delivery or other instructions, applicable law or the Final Carrier Agreements (including improper packing, securing, marking or addressing), the acts or omissions of the Carrier, Freight Forwarder, Partner Agent or any other person interested in the shipment, the nature of or any defect in the shipment, or acts of God, perils of the air, public enemies or authorities, customs or quarantine officials, war, riots, strikes, labour disputes, weather conditions or mechanical delay or failure of aircraft or other equipment.

    15.2 No warranties. CargoAi endeavours to keep information on this Site accurate but accepts no responsibility for errors; information about CargoAi's or third parties' products and services is provided in good faith. CargoAi makes no representations or warranties, express or implied, with respect to this Site, the CargoAi Platforms or their contents and, to the fullest extent permissible under law, disclaims them all. CargoAi maintains a safe and secure service environment and an information security management system aligned with ISO/IEC 27001, but makes no warranty as to the reliability, stability or virus-free nature of this Site or the CargoAi Platforms.

    15.3 Exclusion of damages. Your access to and use of this Site and the CargoAi Platforms are solely at your own risk. Subject to applicable law, under no circumstances is CargoAi responsible for any direct, indirect, incidental, special, punitive, exemplary or consequential damages (including lost profits, savings or revenue, or loss or corruption of data) arising out of or connected with your use of or inability to use this Site or the CargoAi Platforms, whether based on contract, tort, negligence, product liability or otherwise, even if advised of the possibility of such damages.

    15.4 Own advice. You shall obtain your own professional or legal advice and conduct all due diligence regarding any decision or action you intend to take concerning information or materials on this Site or the CargoAi Platforms.

    15.5 Indemnity. You agree to indemnify CargoAi, its affiliates and their directors, officers, employees and agents against all claims, losses, liabilities, costs and expenses (including legal costs on a full indemnity basis) made against or suffered or incurred by any of them arising directly or indirectly from: (a) your access to or use of this Site or any CargoAi Platform; (b) your breach of these Terms and Conditions; (c) any content or data you supply through this Site or any CargoAi Platform; or (d) any dispute between you and any other User.

    16. Site Availability

    While CargoAi uses all reasonable endeavours to make this Site and the CargoAi Platforms available, it cannot guarantee continuous or uninterrupted operation. Availability and service level commitments, if any, are offered only under a signed Enterprise Agreement.

    17. General and Governing Law

    17.1 Relationship. CargoAi and each User are independent contractors; these Terms and Conditions create no partnership, joint venture, agency, fiduciary or employment relationship and, except as these Terms and Conditions expressly state, confer no rights on any third party.

    17.2 Assignment. You may not assign these Terms and Conditions without CargoAi's prior written consent; CargoAi may assign them to an affiliated company or a successor in a merger, acquisition or sale of assets.

    17.3 Severability, waiver and remedies. Any invalid provision shall be enforced to the maximum extent permissible and the remainder remains in force. No failure or delay by CargoAi in exercising any right waives it. For any violation of these Terms and Conditions, CargoAi may seek all remedies available at law and in equity, which are cumulative.

    17.4 Notices. CargoAi may give notice by posting on this Site or the CargoAi Platforms or by email to your account email; you may give notice by email to support@cargoai.co or by mail to our registered office.

    17.5 Confidentiality. Each party shall keep the other's non-public business information confidential, use it only to perform under these Terms and Conditions and disclose it only to personnel and advisers bound to confidentiality, except for disclosures expressly permitted under Section 12, the privacy policy, an Order, an Enterprise Agreement or applicable Supplemental Product Terms. This does not apply to information that is or becomes public without breach, was lawfully known or obtained without a duty of confidence, or was independently developed, or to disclosure compelled by law or a competent authority (with prompt notice to the other party where lawfully permitted). This Section 17.5 survives for five (5) years after your last use of this Site and the CargoAi Platforms and, for trade secrets, for as long as they remain trade secrets or confidential.

    17.6 Force majeure. CargoAi is not liable for any delay or failure to perform caused by events beyond its reasonable control. Nothing in this Section 17.6 excuses your payment obligations.

    17.7 Entire terms and construction. These Terms and Conditions (including Part B and any Supplemental Product Terms) and your Orders are the entire agreement regarding this Site and the CargoAi Platforms, subject to Section 3. In these Terms and Conditions, "including" means "including without limitation" and the singular includes the plural.

    17.8 Governing law and disputes. These Terms and Conditions are governed by the laws of the Republic of Singapore. You agree first to contact CargoAi at support@cargoai.co to attempt in good faith to resolve any dispute amicably and informally; any dispute not resolved informally is subject to the exclusive jurisdiction of the courts of Singapore, to which each party submits. To the extent permitted by applicable law, any dispute shall be conducted on an individual basis only and not as a class, consolidated or representative action.

    PART B — PAYMENT SERVICES TERMS (CargoWALLET)

    B1. Application

    B1.1 Scope. This Part B applies only to Users who register for or use CargoWALLET or any other payment service made available by CargoAi ("Payment Services"), including through the https://www.cargo-wallet.com website and applications (together with the services available through them, the "Payment Platform"). Part A also applies to the Payment Platform, and its defined terms carry the same meaning here; this Part B prevails over Part A for payment operations.

    B1.2 Published Payment Terms. This Part B constitutes the payment terms published by CargoAi for CargoWALLET and the other Payment Services wherever an agreement refers to them, including the CargoAi Master Services Agreement and any Order Form. Where an Enterprise Agreement expressly incorporates these Payment Services Terms, this Part B applies to the Payment Services, subject always to any provisions of the Enterprise Agreement that expressly modify or supersede this Part B.

    B1.3 Acceptance. This Part B binds you upon your express acceptance when registering for the Payment Services (or, if you registered before this Part B was published, upon your first express acceptance or your continued use of the Payment Services after notice of it). CargoAi will present material changes to this Part B for express re-acceptance and keeps records of each acceptance, including the version accepted and the time of acceptance.

    B2. Account, Registration and KYC

    B2.1 Registration. Except as provided in B2.5 (Guest Users), to use the Payment Services you must create an account and submit an online application (a "Registration Application") to register as a payer of freight or cargo charges (a "Payer"), a party invoicing and receiving payment for freight or cargo services (a "Vendor"), or both. You represent, on an ongoing basis, that you are at least 18 and act for business purposes only, that you are duly organised with authority to bind yourself and any person you act for (to whom "you" then refers), and that your use of the Payment Services breaches no law or contract binding on you.

    B2.2 Accurate Information. All information you provide (business, tax, invoice, payment, card and bank details) must be correct, current, complete and kept updated. We rely on your instructions and may withhold action on any transaction we reasonably believe inaccurate or non-compliant, and any feature we cannot provide lawfully or on incomplete information.

    B2.3 Verification and KYC. You authorise CargoAi, its agents and its partner financial institutions to verify the information you provide and to run such identity, sanctions, anti-money-laundering, counter-terrorism-financing, credit and other verification checks, at onboarding and on an ongoing basis, as are reasonably necessary or as required by applicable law or CargoAi's regulated financial partners, in accordance with CargoAi's privacy policy. You will cooperate and provide documentation on request; CargoAi may audit records of your transactions until 1 year after termination or your last transaction.

    B2.4 Authorized Users. Only your employees and designated users ("Authorized Users") may access the Payment Platform on your behalf, and Part A's account, credential and acceptable-use provisions apply to that access.

    B2.5 Guest Users. Certain Payment Services may be made available without a registered CargoWALLET account, including payment through a payment link and payment to a non-registered beneficiary. A person using such functionality is a "Guest User" and accepts the applicable provisions of this Part B by initiating, accepting or receiving the relevant transaction. CargoAi and its regulated payment partners may require identity, payment or compliance information before processing or releasing funds. Where a non-registered beneficiary does not complete the steps required to receive a payment within the period stated in the payment notice (or, if none is stated, 30 days), the payment is cancelled and the funds are returned to the payer's CargoWALLET balance or original payment source.

    B3. The Payment Platform

    B3.1 Services. The Payment Platform enables you to pay and be paid for air cargo and related services, including through multi-currency balances and foreign-exchange conversion, by settling transactions between Payers and Vendors through the processing of invoices, air waybills or bills of lading (or similar statements of amounts due) for freight and cargo charges ("Invoices"). The payment methods ("Payment Methods") currently comprise Prepaid (pre-deposited funds debited on Invoice approval), Card (payment via a card processor) and PayLater (credit under B6); CargoAi may modify them and set and change transaction, debit and credit limits.

    B3.2 Not a Bank. All money processed through the Payment Platform is received, stored and transmitted through settlement accounts maintained and controlled by regulated third-party financial institutions (each a "Settlement Account"). CargoAi is not a bank, deposit-taking institution, money transmitter or licensed payment institution and does not receive or store money for transmission. CargoAi's role is to provide the technology platform: it transmits payment instructions and performs workflow, reconciliation and reporting (and, where applicable under B6, arranges credit); funds flow from the Payer through the Settlement Accounts of the regulated institutions to the Vendor concerned. No interest is paid on balances. You also accept those institutions' and integrated payment providers' applicable terms, available from contact@cargoai.co.

    B3.3 Prefunding; Receipt as Agent. Where PayLater or another credit arrangement applies, the Vendor may be paid before the Payer's repayment falls due, including with funds advanced by CargoAi or a financing partner; settlement funds later received by or for the Payer or a credit provider reimburse the party that advanced them. If CargoAi is construed to receive money for transmission, each Vendor appoints it agent for the limited purpose of receiving Invoice payments on the Vendor's behalf; payment so received is payment to the Vendor and discharges the Payer to that extent.

    B3.4 Balances and Top-Ups. You may top up your CargoWALLET balance by bank transfer, card or other supported local payment methods. Funds are credited to your balance only once actually received and cleared by the partner financial institution concerned; top-ups may be delayed, rejected or reversed by the institutions or networks involved. Balances are held in the Settlement Accounts of the regulated institutions as described in B3.2, are not deposits with CargoAi and bear no interest. Failed or returned payments from your balance are re-credited once the funds are returned to the applicable Settlement Account. CargoAi and its partner institutions may restrict withdrawals or payments from a balance where reasonably required for fraud-prevention, anti-money-laundering, sanctions, chargeback or other compliance reasons, and may set off against your available balance any negative balance, chargeback, reversal, fee or other amount you owe in connection with the Payment Services. Withdrawal and currency-conversion fees may apply as per the published pricing. On closure of your account, your remaining balance is returned to you, after deduction of amounts owed and subject to applicable law and compliance checks, to a bank account or other payment destination in your own name.

    B4. Payers and Vendors

    B4.1 Counterparties. CargoAi is not responsible for, does not guarantee and does not monitor any Payer's or Vendor's performance, and the Payment Platform creates no contractual relationship between you and them and makes CargoAi no party to your agreements with them. Invoice disputes, before or after approval, are for the Payer and the Vendor to resolve; CargoAi disclaims liability for them.

    B5. Fees, FX and Chargebacks

    B5.1 Fees and FX. You shall pay the fees for the Payment Services published by CargoAi on this Site or set out in your Order or, under an Enterprise Agreement, your Order Form ("Payment Fees"), charged in your account currency to the payment source you provide and due on Invoice approval or annually as applicable. Where a transaction involves currency conversion, the exchange rate (including any margin) is the rate quoted on the Payment Platform when you execute the transaction.

    B5.2 Invoices. Only current, correct and valid Invoices may be submitted for payment. Approving an Invoice confirms sufficient funds are available and authorises the applicable debit from your CargoWALLET balance or other Payment Method, and the corresponding movement of funds through the applicable Settlement Account, for the Invoice and the Payment Fees. You must not submit false or misleading Invoices, and Payers may pay no one but a Vendor in settlement of an Invoice (not yourself or any related party).

    B5.3 Authorisations. You authorise debit and credit entries per your instructions and corrective adjustments, and will complete any authorisation forms (ACH, SEPA, SWIFT, card) we request; notify us immediately of changes to your bank or card details, and we are not liable for transactions processed on outdated information you supplied. Authorisations survive while needed to complete pending transactions and at least 30 days after this Part B ends, or longer where law requires.

    B5.4 Holds and Settlement. To prevent fraud and comply with law, we may hold transactions for review, request further information, set and change payment limits, and decline any transaction or Payment Method, without obligation to explain. Transfers between CargoWALLET balances may be reflected immediately within the Payment Platform; settlement to or from external bank accounts remains subject to the applicable payment rails and the settlement times below. Settlement is generally expected within three (3) business days after submission to the relevant clearing or card system if no error or return is reported, but settlement timing is indicative only and remains subject to the relevant financial institutions, payment method, banking network, compliance review and other circumstances beyond CargoAi's reasonable control; returned transactions may be re-debited or re-charged to complete settlement and recover fees, and insufficient funds or credit may attract additional bank, card-issuer and CargoAi charges. You are liable for chargebacks and payment reversals arising from your transactions and the associated bank, card-scheme and CargoAi fees, which CargoAi may recover by debiting your balance or payment source or by invoice.

    B5.5 No Refunds; Late Amounts. Payment Fees are non-refundable unless agreed in writing. Overdue amounts bear interest at 1.5% per month or the maximum lawful rate, plus collection costs including legal fees. Non-payment may lead to deactivation of your account; closing your account does not relieve you of Payment Fees already incurred; not using the Payment Platform is no basis to refuse payment.

    B6. Credit Terms (PayLater)

    B6.1 Credit at Discretion. CargoAi and its partner financial institutions may, at their discretion, offer a Payer credit terms ("PayLater") based on credit reports, financial condition, credit history and business prospects. No assurance is given that credit will be granted or maintained, and CargoAi may change or cancel a PayLater limit at any time.

    B6.2 Repayment and Late Payment. You must pay all amounts outstanding under PayLater — including any agreed PayLater fee, billed or unbilled — by the due date on your account statement (issued monthly or per your billing settings), and stay within your limit. On late payment, CargoAi may charge late fees on each subsequent statement plus interest under B5.5, cancel your outstanding transactions and declare all outstanding amounts immediately due; on your bankruptcy, winding up or similar process, all outstanding amounts fall due immediately.

    B6.3 Immediate Suspension. CargoAi may immediately and without liability suspend, limit or condition the Payment Services (including any credit facility), and take such other action as CargoAi or its payment or credit partners are legally and contractually entitled to take, where it or its partner financial institutions reasonably determine a material adverse change in your credit or financial condition has occurred or is likely, reasonably suspect fraud, unauthorised use or other abuse (pending investigation), or where applicable law or a partner institution requires it.

    B7. Credit Support and Security

    B7.1 Credit Support. CargoAi and its partner financial institutions or financing partners may require appropriate security, guarantees or other credit support in connection with a PayLater or other credit facility. Any such security is granted under, and its scope, perfection and enforcement are governed by, the separate PayLater or security agreement concluded for that facility, and not by these Terms and Conditions.

    B8. Prohibited Activities

    B8.1 Prohibitions. In addition to Part A's acceptable-use provisions, you must not, in connection with the Payment Services: (a) transact in the proceeds of unlawful activity, launder money or finance terrorism; (b) deal with sanctioned parties or goods or breach B9; (c) submit false, misleading or fraudulent Invoices or misrepresent any transaction, its parties or its purpose; (d) input bank, card or payment details you are not the lawful owner or an authorised user of; or (e) use the Payment Platform to defraud CargoAi, any User or any third party.

    B9. Sanctions and Export Compliance

    B9.1 Representations. You represent, on an ongoing basis, that you and your Authorized Users are not located in or controlled by the government of a comprehensively sanctioned country or territory and are not on the OFAC Specially Designated Nationals list, the US denied persons list or any equivalent restricted-party list, and that the Payment Platform will not be used, directly or indirectly, to make or facilitate payments in contravention of applicable sanctions or export control laws. You are responsible for the licences your business requires and will not transfer, export or re-export the data, software or technology used with the Payment Platform to any sanctioned country or restricted person.

    B9.2 Screening and Action. CargoAi and its partner financial institutions screen users and transactions against applicable sanctions lists and may, without liability, freeze, hold, reject, reverse or decline any transaction or balance, suspend the Payment Services and report to competent authorities where they reasonably consider this required by sanctions, export control or anti-money-laundering laws.

    B10. Suspension and Termination of Payment Services

    B10.1 Termination for Cause. Either party may terminate this Part B by written notice if the other breaches it and the breach is incurable or remains uncured 30 days after notice; or immediately on the other's insolvency, bankruptcy or insolvency proceedings, general assignment for creditors' benefit or appointment of a receiver.

    B10.2 Immediate Action. CargoAi may suspend or terminate your access to the Payment Services immediately, without notice or liability, where it reasonably believes you have violated these Terms and Conditions or that continued use would violate law; where any ground under B6.3 or B9.2 arises; or where you breach a material representation or obligation of this Part B uncured 10 days after notice; and may suspend access while investigating a suspected violation.

    B10.3 Effect. On termination you must stop using the Payment Platform. Termination does not affect your obligation to pay amounts already incurred and does not entitle you to any refund. Pending transactions may be completed, reversed or cancelled as CargoAi or its partner financial institutions reasonably determine; authorisations continue as B5.3 provides; and B5.5, B7, B9 and B12, and accrued rights, survive.

    B11. Payment for Freight Services on CargoMART

    B11.1 e-Freight. Users who book freight services on CargoAi's booking platform CargoMART may, once activated and approved, pay for them through the Payment Platform ("e-Freight"). CargoAi is not a party to any e-Freight service or associated air waybill and has no liability for the cargo; carriage terms and liability remain between the provider and the Freight Forwarder concerned (Part A Section 5), unaltered by the Payment Services.

    B11.2 Invoicing and Settlement Flow. Where you pay via CargoWALLET, the provider's Invoices for the freight services rendered are submitted and processed through the Payment Platform and are settled to the provider through the Settlement Accounts of CargoAi's regulated payment service providers on the agreed schedule after the services are rendered. Any statement or invoice CargoAi issues to you in connection with e-Freight is issued for the amounts of, and on the basis of, the provider's Invoices (plus applicable Payment Fees), with CargoAi acting as commercial agent of the provider for billing and collection purposes only; it does not make CargoAi a party to, or principal of, the underlying freight services.

    B11.3 Prepaid and PayLater e-Freight. Prepaid e-Freight payments (the quoted amount plus any notified buffer) are held against your balance, deducted on confirmation and released on rejection or cancellation; final charges, including corrective charges, are updated after carriage, with any shortfall payable immediately (late fees may apply under B6.2) and any excess refunded. PayLater may be offered for e-Freight under B6.

    B11.4 Disputes and Carrier Terms. e-Freight disputes are between you and the provider; CargoAi will assist with information from the platform, and you must promptly inform CargoAi of changes in weight, volume, flights or other relevant details. You must review each provider's terms; airfreight services remain subject to the applicable air waybill conditions, carrier terms, applicable IATA rules and, where applicable, the Warsaw Convention, the Montreal Convention and other applicable carriage laws.

    B12. General

    B12.1 Part A Applies. Part A — including its modification, acceptable-use, data and privacy, intellectual property, third-party website, disclaimer, liability, indemnity and governing-law provisions — applies equally to the Payment Services and this Part B, subject to B1.1.

    B12.2 Publicity; Subcontracting. CargoAi may identify you as a Payer, Vendor or customer in customer lists and publicity; neither party may otherwise use the other's marks without prior written consent or disparagingly. CargoAi may use subcontractors to perform portions of its Services. Regulated financial institutions, payment networks, card schemes and other independent payment service providers may provide services directly under their own terms and are not deemed CargoAi subcontractors merely by participating in a transaction.

    B12.3 Notices. Notices to CargoAi under this Part B go to the Legal Department at support@cargoai.co or by registered mail or courier; notices to you go to the address or contact email in your Registration Application, which you must keep current.
